Cohere Agency LLC Contractor Agreement

Cohere Agency LLC (also known as “Contractor”) will provide Delta Genesis (also known as “Client”) with upgraded assistance and help in setting up the Delta Genesis courses for their business and the automations detailed in the Terms and Conditions below. Contract in effect beginning:  As soon as documents are received by the Contractor and payment is delivered as detailed below by the Client.

Terms and Conditions

The following rates and terms apply:

Client will pay [$500] in total to Contractor via Stripe Invoice in one part as agreed to by both parties.

Scope of Project

Contractor agrees to collaboratively build out the courses for "The Comprehensive Functional Assessment", "Kid Month 1"," Kid Month 2", and "Kid Month 3" for the Client. Automations for these courses are to also be built after course creation has been completed. Support will be provided up until completion to ensure spotless delivery. Support for bugs and oversights of the Contractor will be provided after if necessary.

Changes and Revisions

The price at the beginning of this contract is based on the time investment the Contactor estimates is needed to accomplish everything with creating the courses previously listed and finalizing the automations inside of the Clients Cohere Core account. The tentative timeline for course buildout and completion is set to be before 12-31-2023 and the tentative timeline for completion for automations is set to be completed before 1-31-2024. The Contractor agrees to attempt these timeline goals to the best of their effort but reserves the ability to modify the timeline based on unforeseen events.

Legal

If any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.

Copyright

Client will own the copyright for all material created under this agreement, and contractor can showcase sample works from this project as portfolio pieces only with consent and approval from client in the future.

Payment

Upon submission of this document for the start of this project the following page will lead to a Stripe payment page so that the $500 invoice may be processed and completed.

Termination

This agreement may be terminated within 7 days written notice by either party.

Client’s prior investments are considered permanent, if quality of work is disputed Contractor reserves the right to deliver alternative solutions.
